(d) On March 28, 2007, the Company filed a Form 8-K reporting that the Board of Trustees elected Marianne M. Keler to serve as a Trustee of the Company but, as of that date, the Board of Trustees had not yet determined the committees of the Board of Trustees on which Ms. Keler would serve. On May 8, 2007, the Board of Trustees appointed Ms. Keler to serve as a member of the Audit Committee and the Corporate Governance and Nominating Committee of the Board of Trustees.
