Item 2.02   Results of Operation and Financial Condition
     On February 13, 2009, Virco Mfg. Corporation issued a press release reporting its preliminary fourth quarter update on financial condition.
     A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference. Item 7.01   Regulation FD Disclosure
     On February 13, 2009, Virco Mfg. Corporation (the “Company”) issued a press release announcing that its Board of Directors has declared a quarterly cash dividend of $0.025 per share of Common Stock, which will be payable on March 9, 2009 to shareholders of record on February 23, 2009.
