Amendments to Articles of Incorporation or Bylaws, Change in Fiscal Year

On November 7, 2008, the Company amended its Bylaws to increase the mandatory retirement age of its Board of Directors from 70 to 72. A copy of the revised Bylaws is attached hereto as Exhibit 3.2.
