Item 5.07 Submission of Matters to a Vote of Security Holders
SmartHeat Inc., a Nevada corporation (the “Company”), held a Special meeting of stockholders on February 10, 2015 at 1:30 p.m., local China time. The shareholders present at the meeting, constituting a quorum of 3,593,455 shares (constituting approximately 53% of the shares outstanding and entitled to vote as of the record date), voted to adjourn the meeting to no later than March 30, 2015, China local time, in order to permit the Company to conduct proxy solicitations for the matters under consideration.
