Item 7.01. Regulation FD Disclosure.
On January 7, 2016, EnLink Midstream, LLC (the “Registrant”) issued a press release announcing the closing of the previously announced acquisition of 100% of the issued and outstanding membership interests of TOMPC LLC (“TOMPC”) and TOM-STACK, LLC (“TOM-STACK”) by EnLink TOM Holdings, LP (the “Buyer”), an indirect subsidiary of the Registrant and EnLink Midstream Partners, LP (the “Partnership”), pursuant to the terms of (a) the TOMPC Securities Purchase Agreement, among TOMPC, Tall Oak Midstream, LLC (“Tall Oak”), the Buyer, the Registrant and, solely for purposes of Section 6.19 thereof, the Partnership and (b) the TOM-STACK Securities Purchase Agreement, among Tall Oak, FE-STACK, LLC, TOM-STACK Holdings, LLC, TOM-STACK, the Buyer, the Registrant and, solely for purposes of Section 6.19 thereof, the Partnership. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
