DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On June 12, 2010, Jacob T. Falfas, Chief Operating Officer, resigned from Cedar Fair Entertainment Company effective immediately. All compensation and benefits pursuant to Mr. Falfas’ employment agreement ceased on the last day of his employment.
