(b) On February 10, 2012, Mr. Rodney O’Neal, a Director of The Goodyear Tire & Rubber Company (the "Company"), informed the Company that he will not stand for re-election as a Director at the Company’s 2012 Annual Meeting of Shareholders as a result of his responsibilities at Delphi Automotive PLC, where he serves as Chief Executive Officer and President and a Director. Mr. O’Neal has served as a Director of the Company since February 2004.
