The Company hereby files this Registration Statement on Form S-8 with the Commission to register 1,000,000 shares of Common Stock, $.01 par value, offered or to be offered to participants under the 2004 Executive Officer Equity Plan (Plan) from time to time at prices determined by a committee of the Companys Board of Directors. This Registration Statement also covers such indeterminate number of additional shares which may be offered and issued pursuant to the Plan to prevent dilution resulting from stock splits, stock dividends, recapitalizations or similar transactions.
