Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
| (d) | On February 21, 2005, the Registrant’s board of directors appointed Mr. Ernest J. Mrozek to its board of directors to serve as a Class III director. Mr. Mrozek has not yet been appointed to serve on any committee of the Registrant’s board of directors and the board of directors has not determined which, if any, committees on which Mr. Mrozek will serve in the future. The term of Mr. Mrozek’s directorship is scheduled to expire at the Registrant’s 2007 annual shareholders’ meeting along with the directorships of the Registrant’s other Class III directors and the Registrant presently intends to submit his appointment for ratification at the Registrant’s 2005 annual shareholders’ meeting. A copy of the press release issued on February 22, 2005 announcing Mr. Mrozek’s appointment is attached hereto as exhibit 99.1. |
