Item 7.01 Regulation FD Disclosure.

On December 11, 2008 Advanced Energy Industries, Inc (the Company) announced that in response to the weakness of the current business environment, the Company was implementing a reorganization of its structure to reflect changes in anticipated levels of business. The actions are being taken to both further reduce costs of operations and to streamline the organization going forward.

The Company will reduce approximately 7 percent of its global workforce through reductions-in-force and begin implementation of the restructuring actions this quarter. The actions are expected to be substantially complete by the second quarter of 2009 and the Company expects to record severance pay expenses of approximately $3.6 million, which will result in cash expenditures primarily recorded in the current and next quarter.
