Effective March 8, 2018, Superior Industries International, Inc. (the Company) entered into a second amended and restated employment agreement with Donald J. Stebbins, the Companys Chief Executive Officer and President (the Amended Agreement). The Amended Agreement was amended and restated to, among other things, (i) provide that Mr. Stebbins target long-term incentive awards for fiscal year 2018 and thereafter under the Companys long-term incentive program for senior executives will be increased from 200% to 300% of Mr. Stebbins base salary, and (ii) remove language referencing certain equity incentive awards previously granted to Mr. Stebbins that have already vested in full in accordance with their terms. The remaining material terms of Mr. Stebbins employment were unchanged.
The description of the Amended Agreement is qualified in its entirety by reference to the full text of the agreement, a copy of which is filed herewith as Exhibit 10.1, and is incorporated by reference herein. Unless otherwise specified, capitalized terms used above without definition have the meanings set forth in the Amended Agreement.
