  Item 8.01  Other Events.

DecisionPoint Systems, Inc. (the “Registrant”) has settled an action brought against it by stockholder Michael N. Taglich., in the Delaware Chancery Court, seeking to compel the Registrant to hold an annual meeting of the Registrant’s stockholders. The parties have agreed that the Registrant will hold an annual meeting of stockholders on or before October 15, 2014. 

The Registrant will provide notice to stockholders of the annual meeting, and other required information, in due course, consistent with law.
