On January 12, 2017, Icahn Enterprises L.P. (“Icahn Enterprises”) issued a press release announcing that it, together with Icahn Enterprises Finance Corp. (together with Icahn Enterprises, the “Issuers”), priced their offering of $695,000,000 aggregate principal amount of 6.250% Senior Notes due 2022 and $500,000,000 aggregate principal amount of 6.750% Senior Notes due 2024 (collectively, the “Notes”) in a private placement not registered under the Securities Act of 1933, as amended (the “Securities Act”) (such offering, the “Notes Offering”). The aggregate principal amount represents an increase in the size of the Notes Offering of $295,000,000 from the previously announced offering amount of $900,000,000. The Notes Offering is expected to close on January 18, 2017, subject to customary closing conditions. The Notes will be guaranteed by Icahn Enterprises Holdings L.P. The proceeds from the Notes Offering will be used to redeem all of the Issuers’ outstanding 3.500% Senior Notes due 2017 and to pay related fees and expenses.
