Item 8.01. Other Events.
On February 23, 2005, First PacTrust Bancorp, Inc. (the "Company")
announced that its Board of Directors had declared a cash dividend of $0.125 per
share on the Company's outstanding common stock, payable on March 25, 2005 to
shareholders of record at the close of business on March 11, 2005. A copy of the
press release is attached as an exhibit to this Current Report on Form 8-K and
is incorporated herein by reference.
