Item 7.01 Regulation FD Disclosure.

On October 11, 2005, the Board of Directors of Education Realty Trust, Inc. (the "Company") declared a quarterly dividend of $0.30 per share of the Company’s $0.01 par value per share common stock for the quarter beginning on July 1, 2005 and ending on September 30, 2005. The dividend is payable on November 7, 2005 to stockholders of record as of the close of business on October 24, 2005. The Company filed a press release announcing the declaration of the dividend, which is attached hereto as Exhibit 99.1.
