On November 15, 2004, MemberWorks Incorporated (the "Company") launched a tender offer for up to 500,000 shares of its common stock. In connection with this tender offer, the Company sent a notice to its directors and executive officers informing them that a blackout period is expected to begin on December 13, 2004 and end during the week of December 19, 2004.
