Other Events.

On January 25, 2011, Houston American Energy Corp. issued a press release announcing the resignation of J. Alex Loftus as a director.  Mr. Loftus had no disagreements with Houston American Energy. A copy of the press release is attached hereto as Exhibit 99.1.
