DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

Effective March 2, 2013, Ryman Hospitality Properties, Inc. (the “Company”) appointed Jennifer Hutcheson to the position of Principal Accounting Officer. Ms. Hutcheson, age 35, serves as the Company’s Senior Vice President and Corporate Controller, a position she has held since January 2013. From March 2006 to December 2012, she served as the Company’s Vice President of Accounting and Tax. From May 2004 to March 2006, she served as the Company’s Director of Corporate Accounting. From August 2002 to April 2004, she was the Corporate Accounting Manager at Private Business Inc. (now Goldleaf Financial Solutions Inc.). Prior to that time, she was an auditor with Ernst & Young LLP and Arthur Andersen. Ms. Hutcheson, who is a certified public accountant, has a B.S. degree in accounting from Tennessee Technological University and an MBA from the Owen Graduate School of Management at Vanderbilt University. Ms. Hutcheson is continuing under her existing compensation arrangements without change. As previously disclosed, Rod Connor, the Company’s Principal Accounting Officer through March 1, 2013, retired after over 39 years of service with the Company.
