Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(d) Effective September 7, 2006 the Board of Directors of Northrim BanCorp, Inc. and its wholly-owned subsidiary, Northrim Bank, elected David G. Wight a director to serve on their respective boards until the 2007 Annual Shareholders’ Meeting or until a successor has been elected and qualified.
Mr. Wight has not yet been appointed to serve on any of the Company’s or Bank’s committees. He does not have any related transactions or relationships with the Company or the Bank at this time.

The appointment was disclosed publicly on September 7, 2006. A copy of the press release is attached hereto as Exhibit 99.1.
