(1) | On April 23, 2013, the reporting person received, in an exempt transaction pursuant to Rule 16b-3 of the Securities and Exchange Act of 1934, 79,052 shares of restricted Common Stock that were issued in exchange for all of the outstanding shares of stock of NR-HA, Inc. pursuant to the Agreement and Plan of Merger, dated as of April 15, 2013, by and among, among others, Hannon Armstrong Sustainable Infrastructure Capital, Inc., HA Merger Sub III LLC and the reporting person (the "Merger Agreement"). The initial public offering price of the Issuer's Common Stock which the reporting person received pursuant to the Merger Agreement was $12.50 per share. |
