ITEM 8.01. OTHER EVENTS.

On November 1, 2012, Regions Financial Corporation (the “Company”) sent a redemption notice to Deutsche Bank Trust Company Americas, the Property Trustee for Regions Financing Trust III, which will result in the redemption on December 3, 2012 of the 8.875% Trust Preferred Securities issued by Regions Financing Trust III (CUSIP—7591EM107) at a redemption price equal to 100% of the liquidation amount of the securities ($25 per security) plus accumulated and unpaid distributions. The Company issued a press release announcing the redemption of these securities on November 1, 2012. The press release is attached as Exhibit 99.1 to this Current Report on Form 8–K and is incorporated by reference herein.
