Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 27, 2005, EnPro Industries, Inc. issued a press release announcing that Wilbur J. Prezzano, Jr. has been elected as a director of the company, effective January 1, 2006. The information called for in Items 5.02 (d)(3) and 5.02 (d)(4) is not available at the present time, but will be included in an amendment to this Current Report on Form 8-K when it becomes available. A copy of such press release is included as Exhibit 99.1 hereto.
