ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On March 28, 2005, Mexican Restaurants, Inc. issued a press release
announcing its financial results for its fiscal year ended January 2, 2005.
A copy of the press release is deemed to be furnished, but not filed, as
Exhibit 99.1 hereto.
