EXPLANATORY NOTE
This registration statement on Form S-8 is being filed for the purpose of registering an additional (i) 2,160,000 shares of the Registrants Common Stock to be issued pursuant to the Xcel Energy 401(k) Savings Plan and (ii) 840,000 shares of the Registrants Common Stock to be issued pursuant to the New Century Energies, Inc. Employees Savings and Stock Ownership Plan for Bargaining Unit Employees and Former Non-Bargaining Unit Employees.
