Item 8.01. | Other Events. |
On January 23, 2011, Rock-Tenn Company, a Georgia corporation (RockTenn), and Smurfit-Stone Container Corporation, a Delaware corporation, (Smurfit-Stone), announced that they had entered into an Agreement and Plan of Merger, dated as of January 23, 2011, by and among RockTenn, Smurfit-Stone and Sam Acquisition, LLC, a Delaware limited liability company and wholly-owned subsidiary of RockTenn (the Merger). RockTenn will be providing supplemental information regarding the Merger in connection with a presentation to investors (the Investor Presentation). The slides to be used in connection with this Investor Presentation are attached hereto as Exhibit 99.1.
The information required by Item 1.01, including a copy of the Agreement and Plan of Merger, and a related press release announcing the Merger, will be filed in a separate Current Report on Form 8-K.
