Item 4. | Description of Securities. |
The securities offered hereby are Deferred Compensation Obligations (as defined below) of the Registrant which are being offered to non-employee directors of the Board of Directors (the Board) of the Registrant under the Church & Dwight Co., Inc. Deferred Compensation Plan for Directors (the Plan). The Plan permits each participant to defer fees for services as a director of the Board in accordance with the terms of the Plan. The amount of fees to be deferred by each participant (Participant Deferrals) will be based on elections by each participant under

the terms of the Plan. For purposes of this description, Participant Deferrals, together with earnings thereon, are referred to collectively as Deferred Compensation Obligations. Deferred Compensation Obligations are always 100% vested.
Participant Deferrals will be credited to a ledger account on the Registrants books and records and deemed to be invested in Registrants Common Stock based on the closing price of such Common Stock on the day such Participant Deferrals are earned. A participants account will also be credited with any dividends on shares of such Common Stock. A participants account will not hold actual shares of Common Stock and participants will not have voting rights with respect to their accounts.
The Deferred Compensation Obligations are payable in U.S. dollars as soon as practicable following January 1 of the year following the year in which the participant ceases to be a non-employee director. Deferred Compensation Obligations are payable in a lump sum; however, a participant may elect in accordance with the terms of the Plan to have his or her account paid in annual installments over not more than ten years. The Deferred Compensation Obligations are not convertible into another security of the Registrant.
The Registrant reserves the right to amend the Plan prospectively at any time, including the right to completely terminate the Plan. No amendment may reduce a participants account balance as of the date of such amendment.
A participants rights or the rights of any other person to receive payment of Deferred Compensation Obligations may not be sold, assigned, transferred, pledged, garnished or encumbered, except by a written designation of a beneficiary under the Plan.

Item 6. | Indemnification of Directors and Officers. |
The Registrant is organized under the laws of the State of Delaware. The General Corporation Law of the State of Delaware, as amended (the GCL), provides that a Delaware corporation has the power to indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative (other than an action by or in the right of the corporation) by reason of the fact that the person is or was a director, officer, employee or agent of the corporation or is or was serving at the request of the corporation in such capacity in another corporation, partnership, joint venture, trust or other enterprise, against expenses (including attorneys fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by the person in connection with such action, suit or proceeding if the person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interests of the corporation, and, with respect to any criminal action or proceeding, had no reasonable cause to believe the persons conduct was unlawful. In the case of an action or suit brought by or in the right of the corporation, indemnification of any director, officer, employee and other agent against expenses actually and reasonably incurred by such person in connection

with the defense or settlement of such action or suit is permitted if such person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interests of the corporation; however, no indemnification is permitted in respect of any claim, issue or matter as to which such person shall have been adjudged to be liable to the corporation, unless and only to the extent that the Delaware Court of Chancery, or the court in which such action or suit was brought, shall determine upon application that, despite the adjudication of liability but in view of all the circumstances of the case, such person is fairly and reasonably entitled to indemnity for such expenses which the Delaware Court of Chancery or such other court shall deem proper. Article Seventh of the Registrants Restated Certificate of Incorporation provides for the indemnification of directors, officers, employees and agents of the Registrant to the maximum extent permitted by the Delaware General Corporation Law.
Under the GCL, a Delaware corporation has the power to purchase and maintain insurance on behalf of any director, officer, employee or other agent of the Registrant or, if serving in such capacity at the request of the Registrant, of another enterprise, against any liability asserted against such person and incurred by such person in any such capacity, or arising out of such persons status as such, whether or not the corporation has the power to indemnify such person against such liability under the GCL. The Registrants Restated Certificate of Incorporation permits it to purchase insurance on behalf of such person against any liability asserted against him and incurred by him in any such capacity, or arising out of his status as such, whether or not the Registrant would have the power to indemnify him against such liability under the GCL. Article Seventh of the Registrants Restated Certificate of Incorporation authorizes the purchase of such insurance, and the Registrant has purchased directors and officers liability insurance. A Delaware corporation also may, with certain limitations, set forth in its certificate of incorporation a provision eliminating or limiting the personal liability of a director to the corporation or its stockholders for monetary damages for breach of a fiduciary duty as a director, provided that such provision shall not eliminate or limit the liability of a director (1) for any breach of the directors duty of loyalty to the Registrant or its stockholders, (2) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law (3) under Section 174 of the GCL, or (4) for any transaction from which the director derived an improper personal benefit. Article Seventh of the Registrants Restated Certificate of Incorporation includes such a provision.
