(d)       David B. Zenoff was appointed to the Board of Directors of Williams-Sonoma, Inc. (the “Company”) and the Nominations and Corporate Governance Committee of the Company’s Board of Directors effective as of August 17, 2005. Dr. Zenoff is President of David B. Zenoff and Associates, Inc., a strategic and management consulting firm.
