Item 1.02 Termination of a Material Definitive Agreement.
A Common Stock Purchase Agreement dated as of May 19, 2004, between the Registrant and Fusion Capital Fund II, LLC, was terminated August 2, 2006. No purchases or sales of the Registrants common stock occurred under the agreement. In connection therewith the issuance of a commitment fee of 244,900 shares of the Registrants common stock was voluntarily rescinded.
