Explanatory Note
The Registrant hereby increases the number of shares of the Registrants Common Stock available for issuance under the Antigenics Inc. Directors Deferred Compensation Plan (the Plan) by 150,000 shares so that a total of 250,000 shares will be available under the Plan.
Pursuant to Instruction G to Form S-8, the Registrant incorporates by reference into this Registration Statement the entire contents of its Registration Statement on Form S-8 (File No. 333-106072) filed with the Securities and Exchange Commission on June 12, 2003.
