Item 5.07. Submission of Matters to a Vote of Security Holders.

On May 13, 2010, the 2010 Annual Meeting of Shareholders (the “Meeting”) of FARO Technologies, Inc. (the “Company”) was held in Lake Mary, Florida. The holders of the common stock of the Company voted upon two Company proposals at the Meeting, with the following results:

Item 1 – Election of two directors to serve for a three-year term expiring at the Annual Meeting of Shareholders in 2013
