Shareholder Director Nominations.

On March 27, 2012, the Board of Directors of Synacor, Inc. (the “Company”) approved May 24, 2012 as the date of the Company’s 2012 Annual Meeting of Stockholders (the “Annual Meeting”). The Board of Directors also approved April 12, 2012 as the record date for stockholders entitled to notice of and to vote at the Annual Meeting.

The due date for the provision of any qualified stockholder proposal or qualified stockholder nominations under the rules of the Securities and Exchange Commission and the Bylaws of the Company, including any notice on Schedule 14N, are due to the Company no later than April 9, 2012.
