On October 4, 2016, National Retail Properties, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC and Wells Fargo Securities, LLC, as representatives of the several underwriters named therein (the Underwriters), for the public offering of 12,000,000 depositary shares (Depositary Shares), each representing a 1/100th interest in a share of the Companys 5.20% Series F Cumulative Redeemable Preferred Stock, par value $0.01 per share, at $25.00 per Depositary Share. The Company also granted the Underwriters a 30-day option to purchase up to 1,800,000 additional Depositary Shares. The offering is expected to close on October 11, 2016.
