Item 5.07. Submission of Matters to a Vote of Security Holders.
The following proposals were submitted to the stockholders of Synacor, Inc. (the Company) at the 2018 Annual Meeting of Stockholders held on May 17, 2018:
1. | The election of three directors to serve until the Companys 2021 Annual Meeting of Stockholders or until their successors are duly elected and qualified. |
2. | The ratification of Deloitte & Touche LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2018. |
3. | The approval, on a non-binding, advisory basis, of the compensation of the Companys named executive officers. |
4. | The approval, on a non-binding, advisory basis, of the frequency with which future stockholder advisory votes on the compensation of the Companys named executive officers will be conducted. |
