Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(b)           On July 6, 2010, Madhava Reddy resigned as a director of Caraco Pharmaceutical Laboratories, Ltd. (the “Company”).  Mr. Reddy has informed the Company that he resigned because of the demands of his business and the associated travel, and that his resignation did not involve any disagreement on any matter relating to the Company’s operations, policies or practices.
