The principal cause of our failure to timely file our Annual Report on Form 10-K for the year ended May 31, 2010, is the transition of a new controller at the end of the fiscal year and the need for the Company to prepare additional reports for its auditors. In addition, the Company's auditors have advised that due to staffing issues, they are unable to complete their audit in an accurate and thorough manner without incurring unreasonable effort and expense in order to meet the August 29, 2010 deadline. For these reasons, the Company has chosen to file this extension and the Form 10-K will be filed within the permissible extension period on or before September 14, 2010.
