The Fiscal 2008 Annual Meeting of Stockholders of FactSet Research Systems Inc. (the “Company”) will be held at the Company headquarters, 601 Merritt 7, Norwalk , CT 06851 on Tuesday, December 16, 2008 at 2:00 p.m. Eastern Standard Time.

Proposals to be considered at the Annual Meeting:

 

  (1) To elect two directors to the Board of Directors, each for a three-year term and to elect one director to the Board of Directors for a two-year term.

 

  (2) To ratify the appointment of the accounting firm of PricewaterhouseCoopers LLP as our independent registered public accounting firm for the fiscal year ending August 31, 2009.

 

  (3) To ratify the adoption of the Company’s 2008 Non-Employee Directors’ Stock Option Plan.

 

  (4) To ratify the adoption of the Company’s 2008 Employee Stock Purchase Plan.

 

  (5) To amend the Company’s By-laws to require advance notice to the Company of stockholder nominations for election of directors and other business to be brought by stockholders before a meeting of stockholders in the manner provided by the Company’s By-laws.

 

  (6) To transact such other business as may properly come before the Annual Meeting or any adjournment or postponement of the Annual Meeting.

Management recommends a vote “FOR” Proposals 1, 2, 3, 4 and 5.

The Board of Directors has fixed the close of business on October 20, 2008 as the record date (the “Record Date”) for the determination of stockholders entitled to receive notice of and to vote at the Annual Meeting or any adjournment(s) thereof.
