  (1) To elect three directors to the Board of Directors, each for a three-year term;

 

  (2) To ratify the appointment of the accounting firm of PricewaterhouseCoopers LLP as our independent registered public accounting firm for the fiscal year ending August 31, 2011;

 

  (3) To approve the amendment and restatement of the FactSet Research Systems Inc. 2004 Stock Option and Award Plan;

 

  (4) To act upon such other business as may properly come before the Annual Meeting or any adjournment or postponement of the Annual Meeting.

Management recommends a vote “FOR” Proposals 1, 2 and 3.

The Board of Directors has fixed the close of business on October 18, 2010 as the record date (the “Record Date”) for the determination of stockholders entitled to receive notice of and to vote at the Annual Meeting or any adjournment(s) thereof.
