Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective May 14, 2012, Gary Zimmerman retired as a member of the Board of Directors (the “Board”) of First Business Financial Services, Inc. (the “Company”), in accordance with the Company’s retirement policy. Mr. Zimmerman served as a member of the Board since 1991. The Board reduced the number of Directors constituting the entire Board from ten (10) to nine (9) following Mr. Zimmerman’s retirement.
