Item 2.01 Completion of Acquisition or Disposition of Assets.
On November 28, 2012, Brooklyn Kings Plaza LLC, an indirect subsidiary of The Macerich Company (the Company), completed its previously announced acquisition of Kings Plaza Shopping Center from Alexanders Kings Plaza, LLC, Alexanders of Kings, LLC, and Kings Parking, LLC, indirect subsidiaries of Alexanders, Inc., an affiliate of Vornado Realty Trust. Kings Plaza Shopping Center is a 1.2 million square foot super regional mall located in Brooklyn, New York. The total consideration for the acquisition was $751 million, consisting of $721 million of cash and 535,265 restricted shares of common stock of the Company. The number of shares issued was determined based on the 10 day average of the closing trading price of the shares on the New York Stock Exchange ending on November 27, 2012.
