Assuming the Fusion stockholders adopt and approve the merger at the special meeting scheduled for May 3, 2002, each share of Fusion common stock will, upon the closing of the merger, be converted into 0.1763 of a share of Baxter common stock. The Fusion board of directors has unanimously recommended that the stockholders vote to adopt and approve the merger at the special meeting for Fusion stockholders. The waiting period for the merger under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 expired on April 5, 2002. Fusion develops and commercializes proprietary products used to control bleeding during surgery.
