Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On July 5, 2006, Extreme Networks, Inc. announced that William R. Slakey will be leaving his post as Senior Vice President and Chief Financial Officer following the conclusion of the Company’s fiscal year. Mr. Slakey will be with Extreme Networks through August 4, 2006, and he will serve as a consultant to the company for three months following that to ensure an orderly transition of responsibilities.

The press release announcing Mr. Slakey’s departure is furnished as Exhibit 99.1 hereto and is incorporated by reference herein.
