Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 26, 2014, Franklin M. Berger, currently a member of the Board of Directors (the “Board”) of Seattle Genetics, Inc. (the “Company”), notified the Company of his resignation from the Board, which resignation will be effective immediately following the Company’s 2014 Annual Meeting of Stockholders. Mr. Berger will continue to serve as a member of the Board and of the Audit Committee of the Board until the Company’s 2014 Annual Meeting of Stockholders.
