The Plan is currently in the process of engaging a new independent registered public accounting firm. The reports of Grant Thornton on the financial statements of the Plan for the past two fiscal years contained no adverse opinion of disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope, or accounting principle. In connection with its audits for each of the two most recent fiscal years and through July 13, 2005, there have been no disagreements between the Plan and Grant Thornton on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Grant Thornton, would have caused Grant Thornton to make reference thereto in their report on the financial statements for such years. During the two most recent fiscal years and through July 13, 2005, there have been no reportable events (as outlined in Regulation S-K Item 304(a)(1)(v)). The Plan has provided Grant Thornton with a copy of the disclosures made in this Form 8-K prior to the filing of this Form 8-K and has requested that Grant Thornton furnish the Plan with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the above disclosures. A copy of that letter, dated July 25, 2005, is filed as Exhibit 16.1 to this Form 8-K.
