In connection with the Merger, each outstanding share of the Company's common stock was converted into the right to receive $2.78 per share in cash and .3576 of a share of M&I common stock. Item 1.02 Termination of a Material Definitive Agreement Effective April 1, 2006, in connection with the Merger, the Company terminated a $25,000,000 line of credit pursuant to a Loan Agreement, dated as of October 1, 2004, between the Company and JPMorgan Chase Bank, N.A. In connection with the completion of the Merger, the Company requested the delisting of the Company's common stock from The NASDAQ Stock Market effective as of the close of business on March 31, 2006. Item 5.01 Changes in Control of Registrant Effective April 1, 2006, M&I completed the acquisition of the Company through the Merger, with M&I being the surviving entity in the Merger. In connection with the Merger, each outstanding share of the Company's common stock was converted into the right to receive $2.78 per share in cash and .3576 of a share of M&I common stock. The total transaction value was approximately $700 million. Pursuant to the Merger Agreement, and as a result of the Merger, the board of directors and the executive officers of M&I continue as the board of directors and executive officers of the surviving corporation. Accordingly, the former directors and executive officers of the Company no longer serve in those capacities with M&I. Malcolm M. Aslin, the Chief Executive Officer of the Company at the time of the Merger, however, will join the board of directors of M&I.
