Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 6, 2018, the Board of Directors (the Board) of Coherent, Inc. (the Company), upon recommendation of the Compensation and H.R. Committee of the Board (the Committee), approved a Change of Control Severance Plan (the Plan), which continues the Companys current change of control severance plan, but extends its term through December 31, 2022. The Plan provides certain benefits in the event of a change in control of the Company for certain employees, including each of its named executive officers.
The above description of the Plan is qualified in its entirety by reference to the terms of the Plan, which is filed herewith as Exhibit 10.1.
