EXPLANATORY NOTE Industries International, Incorporated, a Nevada corporation, hereby files this Post-Effective Amendment No.1 to Registration Statement on Form S-8 filed with the Securities and Exchange Commission for the purpose of registering 5,000,000 shares of the Registrant's common stock, par value $0.01 per share, issuable pursuant to the Industries International, Incorporated 2003 Equity Incentive Plan (the "Plan"). The Registrant initially registered 15,000,000 shares of the Registrant's common stock, issuable pursuant to the Industries International, Incorporated 2003 Equity Incentive Plan. The total aggregate number of shares registered and available for grant and issuance pursuant to the Plan was 3,750,000 shares of the Registrant's common stock after giving effect to the 1-for-4 reverse stock split which took effect on or about June 3, 2003. The Registrant's Board of Directors amended and restated Section 4.1 of the Plan to increase the total aggregate number of shares reserved and available for grant and issuance under the Plan to 8,750,000 shares of the Registrant's common stock. This Registration Statement is being filed for the purpose of registering 5,000,000 shares of the Registrant's common stock for issuance pursuant to the Plan.
