Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 5, 2007, the Compensation Committee of the Board of Directors of Captaris, Inc. granted Peter Papano, the Chief Financial Officer of Captaris, a restricted stock unit award for 10,000 shares of Captaris’s common stock. The award will vest on a four year schedule, with 25% vesting each year on the anniversary date of the date of grant, subject in each case to Mr. Papano’s continued employment with Captaris. The award was granted pursuant to Captaris’s 2006 Equity Incentive Plan.
