Effective January 13, 2015, the Registrant issued a $53,500 Convertible Promissory Note (the “Note”) to KBM Worldwide, Inc. (“the Lender”). The Note has a maturity date of ten (10) months from the Effective Date, and accrues interest at 8% per annum. The Lender has the right at any time during the period beginning on the date which is one hundred eighty (180) days following the date of the Note to convert all or any part of the outstanding and unpaid principal amount of the note into fully paid and non-assessable shares of common stock of the Registrant. The Note may be converted to shares of Common Stock of the Registrant at a conversion price of 58% of the arithmetic average of the lowest three (3) closing bid price during the ten (10) trading day period ending on the latest complete trading day prior to the conversion date.
The Note referred to above (and the shares of common stock underlying them) are exempt from registration pursuant to Section 4(2) of the Securities Act of 1933, as amended.
