Submission of Matters to a Vote of Security Holders
(a)
The Companys 2011 annual meeting of shareholders was held on August 11, 2011.
(b)
At the meeting:
(1)
Joseph L. Lanier, Jr. was elected as a Class I Director for a two-year term expiring in 2013, and C. Richard Green, Jr., Nigel G. Howard and William S. Sheridan were elected as Class II Directors for a three-year term expiring in 2014;
(2)
The appointment of Deloitte & Touche LLP as the Companys independent auditors for the fiscal year ending March 31, 2012 was ratified;
(3)
A resolution to approve, on an advisory basis, the compensation paid to the Companys named executive officers, was adopted;
(4)
Shareholders selected, on an advisory basis, every one year as the frequency of future advisory votes on the compensation of the Companys named executive officers; and
(5)
The amendment and restatement of the Companys 2007 Incentive Plan was approved.
