Item 12. Results of Operations and Financial Condition.

On March 11, 2004, Homestore, Inc. issued a press release announcing its financial results for the fourth quarter and year ended December 31, 2003 and conducted a webcast conference call relating to that release. Copies of that release and the transcript of the prepared remarks for that call are attached hereto as Exhibits 99.1 and 99.2 and are incorporated herein by reference.
